This Agreement governs access to and use of 626Dialler, the combined VOIP and cloud-based calling and campaign management platform provided by Alveus Limited (trading as Alveus Co).

Introduction

This Terms of Use and Acceptable Use Agreement ("Agreement") governs access to and use of the combined voice over internet protocol ("VOIP") services and cloud-based calling and campaign management platform known as 626Dialler (the "Services") provided by Alveus Limited (trading as Alveus Co), a company incorporated in England and Wales (company number 13848036), whose registered office is at 45 Frederick Street, Birmingham, England, B1 3HN ("Alveus", "we", "us", or "our"). By accessing or using the Services, you ("Customer", "you", or "your") agree to be bound by this Agreement.

1. Nature of the Agreement

1.1This Agreement does not create any minimum commitment, exclusivity (save where expressly stated), partnership, agency, joint venture, or employment relationship.

1.2Services are provided on a usage-based or pay-as-you-go basis, subject to availability and compliance. Unless the Customer is subject to a separate annual agreement, the Customer may terminate the Services on not less than 30 days' written notice. Alveus may suspend or terminate the Services immediately, without liability, where the Customer is in breach of this Agreement or where Alveus reasonably believes the Services are being used for fraudulent, unlawful, abusive or non-compliant activity, or where suspension is necessary to protect Alveus, its suppliers, or any third party from legal, regulatory, financial or operational risk.

2. Description of Services

2.1Alveus provides integrated VOIP, telecommunications, and cloud-based calling and campaign management services.

2.2Alveus does not:

  • Generate call content
  • Control call scripts, messaging, recordings, or campaign strategy
  • Act as the originator or initiator of Customer communications

2.3The Customer retains full responsibility for all call activity conducted using the Services.

3. Permitted Use

The Services may be used only where all of the following conditions are satisfied:

3.1Calls are made solely by verified businesses or lawful entities.

3.2All calls are placed for a legitimate, lawful, and transparent purpose.

3.3The call recipient has:

  • Provided valid prior opt-in or express consent, or
  • May otherwise be lawfully contacted under applicable law in the originating and destination jurisdictions.

3.4All usage complies with applicable laws and regulations, including but not limited to:

  • UK Privacy and Electronic Communications Regulations (PECR)
  • UK GDPR and the Data Protection Act 2018
  • Telecommunications, consumer protection, and marketing laws applicable in the destination country.

4. Prohibited Use

The Services must not be used for:

4.1Exploitation, harassment, coercion, intimidation, or abuse.

4.2Spam, illegal robocalling, non-consented automated dialling, unlawful cold calling, or nuisance traffic.

4.3Fraud, phishing, scams, impersonation, or misleading practices.

4.4Circumvention of telecoms regulation, caller ID manipulation where unlawful, or routing traffic to evade compliance or enforcement.

4.5Emergency services calling (e.g. 999/112/911) unless in emergency situations with no alternative.

4.6Any activity that infringes the rights, privacy, or safety of individuals or organisations.

5. Customer Responsibilities

5.1The Customer is solely responsible for:

  • Maintaining lawful consent records
  • Ensuring legal authority to place and receive calls
  • Compliance with all laws in every jurisdiction involved

5.2Upon reasonable request, the Customer must promptly provide evidence of:

  • Opt-in or lawful basis for contact
  • Business verification and identity details
  • Internal compliance, suppression, and opt-out procedures

5.3Where Alveus receives a traceback request, regulatory enquiry, or law enforcement request concerning traffic originated by the Customer, the Customer must provide all information reasonably required by Alveus to respond, including call records, campaign details, the caller line identification presented, and evidence of the lawful basis for contact. The Customer must provide that information within 24 hours of Alveus' request, or within any shorter period Alveus specifies where the requesting authority has imposed a shorter deadline.

5.4The Customer acknowledges that Alveus is obliged to respond to traceback requests within fixed periods, and that failure by the Customer to meet the timeframe at clause 5.3 exposes Alveus to regulatory sanction. Failure to comply with clause 5.3 constitutes a material breach and may result in immediate suspension of the Services.

6. Direct Inward Dialling (DID) Numbers

6.1Where Direct Inward Dialling (DID) numbers are allocated or provided by Alveus, such DIDs:

  • Remain the property or under the control of Alveus or its upstream providers
  • Are licensed to the Customer solely for use with Alveus Services

DIDs must not be routed, ported, terminated, or used with any third-party carrier, vendor, or platform without Alveus' prior written consent.

Any attempt to:

  • Re-terminate DIDs via another provider
  • Use DIDs to bypass Alveus infrastructure
  • Assign or resell DIDs

shall constitute a material breach of this Agreement and may result in immediate suspension or termination.

7. Caller Line Identification

7.1The Customer may present only caller line identification which has been allocated to the Customer by Alveus, or which Alveus has expressly authorised the Customer to present under clause 7.2.

7.2Where the Customer wishes to present caller line identification which it holds independently of Alveus, the Customer must first submit each number or number range to Alveus for authorisation, together with evidence of the Customer's right to use it. Alveus may specify the forms of evidence it will accept, and may require the Customer to complete verification testing before a number is released for use.

7.3Authorisation is granted only in respect of the specific numbers or ranges submitted and verified. The Customer must not present any caller line identification outside its authorised set, and must not configure, modify, or attempt to configure any system so as to present such a value.

7.4The Customer warrants that it holds a lawful right to use each number it submits for authorisation, that the evidence it supplies in support is accurate and complete, and that its right to use each number remains current. The Customer must notify Alveus without delay where its right to use an authorised number ceases.

7.5The Customer must not present caller line identification with intent to defraud, cause harm, or wrongfully obtain anything of value, and must not present caller line identification which misrepresents the identity or location of the caller.

7.6Alveus enforces authorisation at network level and reviews presented caller line identification. Presentation of an unauthorised value constitutes a material breach of this Agreement, and may result in withdrawal of authorisation, immediate suspension, or termination.

7.7Where the Services are used to originate traffic terminating in the United States, the Customer must comply with the Telephone Consumer Protection Act, the Truth in Caller ID Act, and applicable state law, and must not present caller line identification in contravention of those requirements.

8. Verification, Monitoring & Compliance

8.1Alveus may verify Customer identity, business legitimacy, and usage patterns.

8.2Alveus does not routinely monitor call content. Alveus may access, review, and retain call recordings, call detail records, campaign configuration, and dialling data where:

  • Required by law, by a regulator, or by an upstream carrier
  • Regulatory, legal, or reputational risk arises
  • Credible allegations of misuse are received
  • Alveus has reason to suspect fraud, unlawful use, or breach of this Agreement

8.3The Customer acknowledges that telecoms providers may be required to cooperate with regulators or law enforcement.

8.4The Customer must ensure that its notification and consent arrangements with call recipients and its own personnel permit Alveus to access and review recordings for the purposes set out at clause 8.2, and that its privacy notices reflect this. The Customer remains the controller of personal data contained in such recordings and is responsible for the lawfulness of its own processing.

9. Traffic Integrity, Fair Use & Network Protection

9.1Alveus reserves the right to implement:

  • Traffic shaping
  • Rate limiting
  • Call blocking
  • Destination restrictions where necessary to protect network integrity, comply with regulation, or prevent abuse.

9.2Excessive, abnormal, or high-risk traffic patterns may be restricted or suspended without notice.

10. Suspension and Termination

10.1Alveus may immediately suspend or terminate Services where:

  • This Agreement is breached
  • Regulatory, reputational, or legal risk is identified
  • Required by law, regulators, or upstream carriers

10.2Suspension or termination may occur without liability where undertaken in good faith.

11. No Warranty

11.1Services are provided "as is" and "as available", without warranty of uninterrupted service, call completion, routing, or quality.

11.2Alveus does not warrant suitability for any particular business, regulatory outcome, or use case.

12. Limitation of Liability

12.1To the fullest extent permitted by law, Alveus shall not be liable for:

  • Indirect, incidental, or consequential loss
  • Regulatory penalties or fines arising from Customer activity
  • Loss of data, revenue, contracts, or reputation

13. Indemnity

The Customer agrees to fully indemnify and hold harmless Alveus from all claims, losses, damages, fines, costs, and expenses arising from:

  • Use or misuse of the Services
  • Breach of this Agreement
  • Violation of applicable law or third-party rights

14. Data Protection

14.1Each party acts as an independent data controller, unless otherwise agreed in writing.

14.2The Customer warrants that all personal data processed using the Services is lawful and compliant.

15. Force Majeure

Alveus shall not be liable for failure or delay caused by events beyond reasonable control, including network outages, upstream carrier failures, regulatory actions, or acts of government.

16. Governing Law and Jurisdiction

This Agreement is governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.

17. Amendments

Alveus may amend these Terms from time to time where reasonably necessary to reflect changes in applicable law, regulation, carrier or supplier requirements, network or technical changes, security requirements, fraud prevention measures, service functionality, or Alveus' business operations. Alveus will give the Customer reasonable prior written notice of any material amendment. If a material amendment has a significant adverse effect on the Customer and is not required for legal, regulatory, security or fraud-prevention reasons, the Customer may terminate the affected Services by written notice within 14 days of being notified of the amendment. Continued use of the Services after the effective date of the amendment constitutes acceptance of the amended Terms.
